GOLD AFFILIATE PROGRAM AGREEMENT FOR JAZCONVERT WARNING: THE CURRENCY CONVERSION APPLICATION (JAZCONVERT) AND ASSOCIATED DOCUMENTATION AVAILABLE ON OR THROUGH THIS SITE ARE COPYRIGHT AND SUBJECT TO THIRD PARTY INTELLECTUAL PROPERTY AND OWNERSHIP RIGHTS OF E-JAZ PTY LTD ACN 095 769 734 (THE OWNER). THEY ARE LICENSED (NOT SOLD). PERMISSION TO USE AND PROMOTE JAZCONVERT IS CONDITIONAL UPON YOU AGREEING TO THE TERMS SET OUT BELOW. DO NOT PROCEED UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS. ACCEPTANCE BY CLICKING THE "I AGREE" BUTTON WILL BIND YOUR COMPANY (AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND CONTRACTORS) TO THE TERMS OF THIS AGREEMENT. THE AGREEMENT WILL BE BETWEEN YOUR COMPANY (AS ENTERED IN THE ATTACHED REGISTRATION FORM) AND E-JAZ PTY LTD 095 769 734. IF YOU DO NOT WISH TO ACCEPT THESE TERMS CLICK THE "I DISAGREE" BUTTON WHEREUPON ANY ONLINE TRANSACTION WILL CEASE AND YOU WILL NOT BE PERMITTED TO USE OR PROMOTE THE JAZCONVERT SERVICE. This agreement sets out the terms and conditions for the JAZconvert Gold Affiliate program. 1. The service: This affiliate program relates to the JAZconvert currency conversion service. For further information about the JAZconvert service see http://JAZconvert.com JAZconvert retail pricing can be seen on the JAZconvert.com web site. 2. Commission: A Gold Affiliate will earn a commission for each JAZconvert registration received from a customer who was referred to the JAZconvert service by that Gold Affiliate. The Gold Affiliate commission rate will be 15% of the JAZconvert retail (exclusive of GST) price. The 15% commission will be credited to the Gold Affiliate each month for as many months as the relevant referred customer continues to use the JAZconvert service. 3. Attributing referrals: A JAZconvert registration will be attributed as being referred by the Gold Affiliate named in the attached Gold Affiliate Registration Form in one of two ways: 3.1 The customer clicks on a link from the Gold Affiliate's web site/e-mail containing the Gold Affiliates JAZconvert affiliate ID where the customer subsequently registers for JAZconvert through the JAZconvert web site. 3.2 The customer registers for the JAZconvert service through the JAZconvert web site and we are notified by the customer or the Gold Affiliate that they were referred by the Gold Affiliate. 4. Promotion: The Gold Affiliate will promote the JAZconvert service on the Gold Affiliate's web site and in other marketing materials of the Gold Affiliate. We encourage the Gold Affiliate's staff to be familiar with the JAZconvert web site at http://jazconvert.com and understand the features, benefits and pricing of JAZconvert. The Gold Affiliate may use material from the JAZconvert website on its websites for the purpose of promoting the JAZconvert service. Please remember to use the URL we give you after you sign-up as a Sales Affiliate as it will contain your unique affiliate ID. e-JAZ reserve the right to require the Gold Affiliate to modify, adapt or remove any material it prepares and/or promotes in relation to the JAZconvert service. 5. Customer Support: e-JAZ will handle customer support, though the Gold Affiliate may also provide support to its customers if it wishes to do so. 6. Customer billing: e-JAZ will handle the billing of customers for the JAZconvert service. 7. Affiliate Payment: Payment by e-JAZ to the Gold Affiliate for commission earned will be made on a monthly basis provided a minimum amount of AU $150 is credited in the Gold Affiliate's JAZconvert account. If the Gold Affiliate's JAZconvert account balance is below AU $150, the first payment will be made once a minimum of AU $150 has accumulated. Payment will occur via direct debit. Please forward your bank account details to us for this purpose. 8. JAZconvert account for your web site: As a Gold Affiliate you will receive a JAZconvert account for use on your web site at no charge whilst you are a Gold Affiliate. 9. Ownership: At all times e-JAZ Pty Ltd will retain all rights, title, ownership, interest and intellectual property rights in and associated with the JAZconvert service. The Licensee may not remove, alter or modify the e-JAZ trade marks, branding and copyright notices from the JAZconvert service and may not re-brand such materials with its own trade marks, get-up and packaging. 10. Termination: This agreement may be terminated on 30 days written notice from one party to the other party. 11. Commencement date: The commencement date for this agreement will be the date when the attached Gold Affiliate Registration Form is received by e-JAZ. I ACKNOWLEDGE THAT I HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM AND AGREE TO BE BOUND BY THEM.
